Terms of Service
These Terms of Service ("Terms") govern your access to and use of the caila mobile application ("App") and related services (collectively, the "Service") provided by Caila Ltd ("Caila", "we", "our", or "us"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 13 years old to use caila. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the App with the consent of a parent or legal guardian. By using the App, you represent and warrant that you meet these age requirements and that you have the legal capacity to enter into this agreement.
2. Account Registration
2.1 Creating an account
You must create an account to use caila. You agree to provide accurate, complete, and current information during registration and to keep this information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
2.2 One account per person
Each person may maintain only one account. You may not create an account on behalf of another person without their explicit consent, and you may not impersonate any person or entity.
2.3 Account security
You must notify us immediately at support@caila.social if you believe your account has been compromised. We will not be liable for any loss or damage arising from unauthorised use of your account.
3. Description of the Service
caila is a private social network that allows you to share and discover real-world plans with your friends. The core features include:
- Creating and sharing plans: post Events (organised activities), Happenings (personal moments), Trips (travel plans), and Floats (ideas and suggestions).
- Social connections: add friends, create Crews (private groups), and manage a Close Friends list.
- City and country profiles: see which friends have visited or lived in a city, and browse their recommendations.
- World feed and calendar: view friends' upcoming plans in a feed and in a shared calendar view.
- Scrapbook: photos attached to posts are collected into a personal visual history.
- Overlaps: automatic matching of your plans, trips, and city visits against friends', surfacing shared connections.
- Event discovery: browse public events sourced from third-party providers including Ticketmaster.
4. User Content
4.1 Your ownership
You retain all intellectual property rights in the content you create and post through the App ("User Content"), including text, photos, and recommendations.
4.2 Licence to Caila
By posting User Content, you grant Caila a non-exclusive, royalty-free, worldwide, transferable, sub-licensable licence to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the Service. This licence ends when you delete the content or your account, subject to the retention provisions in our Privacy Policy.
4.3 Licence to other users
When you share User Content with other users (in accordance with your chosen privacy settings), you grant those users a personal, non-commercial licence to view that content through the App.
4.4 Your representations
By posting User Content, you represent and warrant that: (a) you own or have the necessary rights to the content; (b) the content does not infringe any third-party intellectual property, privacy, or other rights; and (c) the content complies with these Terms.
5. Acceptable Use
5.1 You agree to use caila only for lawful purposes.
You must not:
- Post content that is unlawful, harmful, threatening, abusive, harassing, defamatory, pornographic, obscene, or otherwise objectionable.
- Impersonate any person or entity, or falsely state your affiliation with any person or entity.
- Post spam, chain messages, unsolicited commercial communications, or automated content.
- Upload viruses, malware, or any code designed to damage, disable, or disrupt the App or our systems.
- Attempt to gain unauthorised access to other users' accounts, our systems, or any connected networks.
- Scrape, crawl, or harvest data from the App without our express written permission.
- Use the App for any commercial purpose without our prior written consent.
- Circumvent, disable, or interfere with security features of the App.
- Post content depicting or promoting child sexual abuse material (CSAM), self-harm, or the exploitation of vulnerable people.
- Use the App to stalk, harass, bully, or intimidate any person.
- Violate any applicable local, national, or international law or regulation.
5.2 Reporting
If you encounter content or behaviour that violates these Terms, please report it via the in-app reporting feature or email us at support@caila.social. We take all reports seriously and will act on them promptly.
6. Privacy
Your use of the App is also governed by our Privacy Policy, available at caila.social/privacy and within the App under Settings > App & Account > Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
7. Social Features and User Interactions
7.1 Friend connections
Adding someone as a friend in caila is mutual — both users must agree. You can remove a friend at any time, which will prevent them from seeing your future posts (existing posts shared with them may remain visible to them until deleted).
7.2 Crews
Crew creators are responsible for managing their Crew membership and ensuring that Crew content complies with these Terms. Caila is not responsible for content shared within a Crew.
7.3 Blocking
You may block any user at any time in Settings > Privacy & Location > Blocked users. Blocked users cannot see your content, send you friend requests, or interact with you through the App.
8. Intellectual Property
8.1 Caila's IP
All intellectual property rights in the App — including the software, design, graphics, logos, and all features other than User Content — are owned by or licensed to Caila. You may not copy, modify, adapt, decompile, reverse-engineer, or create derivative works of the App or any part of it without our prior written consent.
8.2 Feedback
If you submit feedback, suggestions, or ideas to us, you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use and incorporate your feedback into the App without any obligation to you.
9. Third-Party Services
The App integrates with or links to third-party services, including:
- Google Firebase: authentication, real-time database, cloud storage, and push notifications. Use of Firebase is subject to Google's Terms of Service.
- Ticketmaster Discovery API: public event data. Use of event pages is subject to Ticketmaster's terms.
- Apple Calendar: optional calendar integration via your device's native calendar system.
- Apple Maps / Core Location: city-level location detection.
Caila is not responsible for the practices, content, or availability of any third-party service. Your interactions with third-party services are governed by those services' own terms and privacy policies.
10. Paid Features — Caila Plus
Caila may offer premium features under the "Caila Plus" subscription. The current pricing, features, and billing cycle are displayed in the App at Settings > Caila Plus. All purchases are processed by Apple via the App Store and are subject to Apple's payment terms and refund policies. We do not handle payment card data directly.
- Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
- You can manage and cancel subscriptions in your Apple ID account settings.
- We do not offer refunds for partially used subscription periods, except as required by applicable law.
11. Content Moderation and Enforcement
Caila reserves the right (but not the obligation) to review, remove, or restrict access to any User Content that, in our reasonable judgement, violates these Terms or is otherwise objectionable. We may take enforcement action including:
- Removing or hiding specific posts or photos.
- Temporarily suspending your ability to post.
- Permanently suspending or terminating your account.
- Referring conduct to law enforcement where required.
We will endeavour to notify you of enforcement action taken against your content or account unless doing so would compromise an ongoing investigation or is otherwise prohibited.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CAILA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Event and activity information surfaced through the App is sourced from third parties and may not be accurate, complete, or current. Always verify event details with the official organiser before attending.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAILA AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
CAILA'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CAILA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by Irish or EU law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Caila and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third-party rights.
15. Termination
15.1 Termination by you
You may stop using the App at any time. You can delete your account in Settings > App & Account > Delete Account, which will initiate permanent deletion of your data in accordance with our Privacy Policy.
15.2 Termination by Caila
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. We will endeavour to give reasonable notice except where doing so would compromise security or an investigation.
15.3 Effect of termination
Upon termination, your licence to use the App ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 4, 8, 12, 13, 14, 16, and 17) will continue to apply.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, legal requirements, or our practices. When we make material changes, we will notify you through the App or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and delete your account before the new Terms take effect.
17. Governing Law and Dispute Resolution
17.1 Governing law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.
17.2 Jurisdiction
Subject to Section 17.3, you and Caila submit to the exclusive jurisdiction of the courts of Ireland for the resolution of any disputes arising under these Terms.
17.3 Consumer rights
Nothing in these Terms affects your statutory rights as a consumer under Irish law, EU law, or UK law (as applicable). If you are a consumer in the EU or UK, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
17.4 Class action waiver
To the maximum extent permitted by applicable law, you agree to resolve disputes with Caila on an individual basis. You may not bring claims as a plaintiff or class member in any class or representative action.
18. General
- Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Caila regarding the Service and supersede all prior agreements.
- Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Caila's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
- Assignment: you may not assign or transfer any rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity.
- Force majeure: Caila is not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, internet outages, or government actions.
